SMS Terms

Last Updated: October 21, 2026

These SMS Terms of Service (the “SMS Terms”) govern the provision, receipt, and delivery of text messages by or on behalf of Nearby AI, Inc., including our subsidiaries and other affiliates and brands such as Nearby (collectively, “Nearby,” “we,” “us,” or “our”). Depending on the consent you’ve provided, our text messages (the “Nearby Texts”): (1) confirm and update you on project requests you submit; (2) notify you when Service Providers are matched to or respond to your request, and deliver messages between you and Service Providers; (3) help us authenticate your identity, such as confirming your phone number; (4) if you are a Service Provider, notify you of new leads and account activity; and/or (5) if you separately opt in, provide you with marketing or promotional content that may interest you.

E-SIGN Disclosure and Agreement

By providing your consent to receive Nearby Texts (as described below), you also consent to the use of an electronic record to document your agreement. You may withdraw your consent to the use of the electronic record by emailing us at compliance@nearby.ai with “Revoke Electronic Consent” in the subject line.

To view and retain a copy of this disclosure or any information regarding your enrollment in this program, you will need (i) a device (such as a computer or mobile phone) with a web browser and Internet access and (ii) either a printer or storage space on such device. For a free paper copy, or to update our records of your contact information, email us at compliance@nearby.ai with contact information and the address for delivery.

Agreement and Consent to Receive Nearby Texts

You can provide us with your consent to receive Nearby Texts in multiple ways, such as by signing up for news alerts, initiating telephonic communications with us (including by sending us text messages), providing us with your phone number when inquiring about our services, or by opting into receiving marketing Nearby Texts. We may offer multiple Nearby Texts programs, and you may provide consent to more than one Nearby Texts program. By providing your consent, you understand we may send you texts even if your number is registered on a state or federal Do Not Call list. You further agree to these SMS Terms, Nearby’s Terms of Use, and Nearby’s Privacy Policy.

By providing consent, you authorize us to use automated or nonautomated technology to send Nearby Texts to the number associated with your consent. You may opt into receiving Nearby Texts with marketing content, and consent to receiving marketing texts is not a condition of purchase.

Eligibility

By consenting to receive Nearby Texts, you represent that you are 18 years of age or older and understand the obligations and agree to the terms set forth in these SMS Terms and the Nearby Terms of Use. You further represent that you are the subscriber to the relevant phone number or that you are the customary user of that number on a family or business plan and for which you are authorized to opt into Nearby Texts.

Costs of Nearby Texts

Nearby does not charge you for Nearby Texts. But message and data rates may apply, so depending on your plan with your wireless or other applicable provider, you may be charged by your carrier or other applicable provider.

Frequency of Text Messages

We may send you an initial message confirming your enrollment in Nearby Texts. Message frequency varies. After that, you will receive recurring text messages, and the specific amount may vary depending on how you use our services (e.g. whether you reply with HELP, the number of times you’ve requested information from Nearby, the number of Nearby Texts programs you have enrolled in).

Participating Carriers

Nearby Texts are supported on all U.S. carriers. The supporting mobile carriers may change without notice, and the particular Nearby Texts program you join, including those operated through a different number, may be limited to specific carriers. Nearby and the mobile carriers (for example, T-Mobile) are not liable for delayed or undelivered messages. Nearby Texts may not be compatible with all cell phone models.

Opting out of Nearby Texts

To get help about Nearby Texts, reply HELP to any Nearby Text. To opt out of Nearby Texts from a specific phone number, you must text STOP to that number. We may not recognize other opt-out commands, and you agree that we are not responsible if you submit opt-out commands that do not comply with these SMS Terms. You must separately opt out of each number from which you’ve provided us with consent to receive Nearby Texts. If you have consented to multiple Nearby Texts programs, you must also separately opt out of each program. After we receive your “STOP” text, we may send you confirmation of your opt-out via text message.

We reserve the right to modify any number used to send Nearby Texts at our discretion and will notify you as required by law. Please be aware that messages, including STOP or HELP requests, sent to a number we no longer operate may not be received by us. We are not responsible for fulfilling requests conveyed through messages sent to numbers we no longer operate.

Texts Between Users and Service Providers

When you submit a project request, Service Providers matched to your request may text you through a Nearby masked number that hides your actual phone number. Replying STOP to a masked number ends further texts on that thread. Nearby may monitor, record, and store these messages as described in the Nearby Terms of Use and Privacy Policy. Service Providers are responsible for the content of the messages they send and must honor your opt-out requests.

Modifications to these SMS Terms

We reserve the right to modify these SMS Terms, or any part thereof, or add or remove terms at any time, and such modifications, additions or deletions will be effective immediately upon posting. Your continued enrollment in Nearby Texts shall be deemed to constitute acceptance by you of such modifications, additions, or deletions.

Dispute Resolution

Any dispute relating to Nearby Texts is governed by the Mandatory Arbitration and Class Action Waiver section of the Nearby Terms of Use, which is incorporated into these SMS Terms.

Nearby / Nia call-summary SMS terms

Nearby AI, Inc. operates the optional Nearby / Nia call-summary SMS program at (669) 365-3846. After you call Nia, Nearby's AI home-service advisor, you may request a text summarizing the home-service need you discussed and your request's status. A summary is not a booking, a contractor quote, or a promise of a callback. This program does not send advertising, contractor promotions, or third-party marketing messages.

Consent and frequency. Nia confirms your receiving mobile number and asks for separate, explicit verbal permission before scheduling a text. Calling, accepting these Terms, or agreeing to a contractor callback does not enroll you. At most one summary is sent per call you consent to. Consent is not a condition of purchase or of using the hotline. You may decline or withdraw permission before the call ends.

Rates and delivery. Message and data rates may apply. Delivery depends on your carrier and may be delayed or unavailable. Carriers are not liable for delayed or undelivered messages.

Stop and help. Reply STOP to stop texts from this number. You may receive a single opt-out confirmation. Reply HELP for help, or call (669) 365-3846 for program support. Replying START removes a carrier opt-out block; it does not schedule a summary or replace the explicit consent required on a subsequent call.

Privacy. We do not share, sell, or provide mobile phone numbers, SMS opt-in information, or messaging consent data to third parties or affiliates for marketing or promotional purposes. SMS consent does not authorize contractor texts. Information needed for delivery and support may be processed by providers such as Twilio and mobile carriers on our behalf. These restrictions apply notwithstanding other content-license or disclosure provisions in these Terms. Read our Privacy Policy and program explanation.
